A unilateral NDA (one-way NDA) is the usual choice when you are the only party opening a vault: a pitch deck, a source repo, a customer export, or a private video. The recipient agrees not to use or spread that material except as the NDA allows.

When a one-way NDA is the right shape

One-way drafts emphasize that only the disclosing party shares Confidential Information. They still cover permitted purpose, non-disclosure, non-use, and how long the duty lasts. They typically do not pretend the recipient is also a discloser.
If you later need two-way protection, do not stretch a one-way form — generate a mutual NDA or upload a mutual form from counsel.

Ordinary questions are not the same as a two-way exchange of trade secrets. If both sides will share confidential files, switch to a mutual NDA.
Is a one-way NDA enough for employees?
