A mutual Non-Disclosure Agreement (also called a bilateral or two-way NDA) is the standard form when both parties will see each other’s confidential material. When you need a mutual NDA

Choose a mutual NDA when confidential flow is two-directional. Typical situations include vendor–customer pilots where each side shares process details, co-marketing where brand assets move both ways, and early commercial talks where pricing, roadmaps, and customer lists are exchanged.

Definition of confidential information

The draft describes what counts as confidential — documents, data, oral disclosures, and content unlocked after signing. Mutual forms apply that definition to both parties in their role as discloser or recipient.

Purpose and use limits

Recipients should use the information only for the stated purpose (evaluating a deal, performing services, reviewing a transfer). Using it to compete or to brief unrelated third parties is the core restriction most mutual NDAs exist to create.

Duration
