Free Software & SaaS NDA Template
Code and technical NDAs highlight source, credentials, architecture, and APIs — the material that is easy to copy and hard to unspread.
Software and SaaS disclosures include source, infrastructure diagrams, unpublished APIs, and production credentials. SendbyLaw’s Code & Technical NDA type is built for that class of material, including limits that are common for code (no reverse engineering of disclosed binaries, no reuse of credentials).
SendbyLaw provides templates and a signing workflow. It is not a law firm and does not provide legal advice. Have a lawyer review any NDA you rely on.
When to use a software NDA
- Outside engineers joining a private repo
- A prospect evaluating on-prem or source-available software
- Sharing architecture docs with a security reviewer
Technical clauses in plain English
Expect language around not copying the codebase, not using disclosed credentials except for the evaluation, and returning or deleting copies when the purpose ends. If you need open-source inbound licensing terms, that is a different contract — upload your own text.
FAQ
Is a software NDA enough to protect source code?
It is one control. Also use repo permissions, secrets management, and least privilege. An NDA does not replace access control.
Can I NDA-protect a GitHub URL?
Yes. Paste the HTTPS URL (private repo invite still needs GitHub access). SendbyLaw requires the NDA signature before it sends the recipient to that URL.
