Free Employee NDA Template

Use an employee-oriented NDA when staff will see customer data, unreleased product, or internal files. Employment law still applies — this is not a full employment contract.

Employees routinely see material that would harm the company if it leaked: customer exports, unreleased features, salaries, and credentials. An employee NDA (often titled a confidentiality agreement) states that this information stays inside the job.

When you need an employee NDA

  • Onboarding access to shared drives or admin tools
  • Temporary access for a contractor who is treated like staff for a project (consider the contractor template if they are truly independent)
  • Sending internal reports or HR files to a specific employee

What this template is not

It is not a complete employment agreement, invention assignment, or handbook. Works councils, wage statutes, and whistleblower protections can limit what you can restrict. FAQ

Is an employee NDA the same as an employment contract?

No. An NDA covers confidential information. Pay, termination, and IP assignment usually live in a separate employment agreement drafted by counsel.

Can I send this to a new hire before day one?

Yes. Create a protected link to the handbook or systems list and require a signature before they get access.

What about non-competes?

Non-compete rules vary widely and are restricted in many places. Do not assume an NDA template includes a valid non-compete. Ask a lawyer.
